§ 1 Scope and contracting parties
(1) These general terms and conditions (T&Cs) apply to all contracts between
bytebrise, marketing and designOwner: Jakob Serfözö
Balduin-Helm-Straße 71b
82256 Fürstenfeldbruck
Email: hello@bytebrise.com
Phone: +49 8141 5098988
(hereinafter "bytebrise") and the customer.
(2) Customers within the meaning of these T&Cs include both businesses (§ 14 BGB) and consumers (§ 13 BGB). Individual provisions apply expressly only to businesses or only to consumers; this is indicated at the relevant point.
(3) Deviating or supplementary terms of the customer do not become part of the contract unless bytebrise expressly agrees to their validity in writing.
(4) The version of these T&Cs current at the time the contract is concluded applies.
§ 2 Conclusion of contract
(1) Offers from bytebrise are non-binding unless expressly designated as binding.
(2) The contract is concluded by written order confirmation from bytebrise. Confirmation in text form (e.g. by email) is sufficient. Alternatively, the contract can also be concluded by countersigning a quote prepared by bytebrise.
(3) Changes are recorded in text form for documentation purposes. The precedence of individual agreements remains unaffected.
§ 3 Scope of services
(1) Depending on the individual agreement, bytebrise provides the following services:
- Conception, design and implementation of websites (one-off order, "Classic package" (Klassik-Paket))
- Provision and maintenance of websites for a monthly fee ("bytebrise Sichtbar")
- Online marketing services (search engine optimisation, search engine advertising, social media management)
- Print design (e.g. business cards, flyers, brochures, posters)
- Maintenance, update and support services for existing customers
(2) The specific scope of services results from the individual quote or order confirmation. Services that are not expressly agreed are commissioned and remunerated separately. The terms of use apply in addition to the use of the self-service tools.
(3) bytebrise is entitled to use subcontractors to provide the services. Responsibility for proper performance of the services remains with bytebrise.
(4) Appointments and deadlines are only binding if expressly designated as binding. Delays caused by the customer's untimely cooperation extend stated deadlines accordingly.
3.1 bytebrise Sichtbar (website rental / WaaS)
"bytebrise Sichtbar" includes: individual design, development and provision of a website within the agreed scope, ongoing maintenance for the duration of the contract, and changes to existing content pursuant to § 11.4. New subpages outside the existing structure, new functions or a redesign are not included and are invoiced under a separate quote.
Hosting and technical support of the agreed website are included in the monthly fee. bytebrise remains your contracting party for these services, even where technical service providers are used. An additional direct hosting contract by the customer is not required for this product. The domain runs in the customer's name; bytebrise manages it technically for the duration of the contract, if agreed, and it remains the property of the customer.
bytebrise endeavours to keep the website available as continuously as possible, but cannot guarantee any specific uptime.
3.2 Classic package (one-off purchase)
Under the Classic package, bytebrise creates a website according to individual agreement and hands it over to the customer after full payment. The customer receives:
- the finished website files (HTML, CSS, JavaScript as well as embedded media within the agreed scope),
- access data for the content management system and hosting used (if applicable),
- transfer of the domain to a domain account named by the customer (if the domain was previously managed via bytebrise).
Design source files (e.g. Figma, Photoshop, Sketch) are not handed over unless expressly agreed. Such a handover can be agreed for a separate fee.
3.3 Online marketing
Online marketing services are provided as a service contract under §§ 611 et seq. BGB. bytebrise owes the effort to achieve a certain result, not the result itself (e.g. no guarantee for specific rankings, click numbers, sales or leads).
3.4 Print design
For print products, bytebrise delivers print-ready data. Unless expressly agreed otherwise, commissioning the printer and checking the proof are the customer's responsibility.
3.5 Maintenance and support for existing customers
Outside of bytebrise Sichtbar, maintenance, update and support services are billed according to actual effort. On request, fixed monthly hour allowances (retainers) can be agreed. The applicable hourly rate results from the quote or the service agreement.
§ 4 Customer's duties to cooperate
(1) The customer provides bytebrise with all content required for performance in good time and in a usable form. This includes in particular texts, images, logos, fonts, access data and, where applicable, brand guidelines.
(2) To continue the project, bytebrise requires feedback from the customer (approvals, corrections, decisions). Interim results are approved expressly. Silence does not count as approval. If the customer does not respond to a specific request within 14 days, bytebrise will notify them separately before continuing on the basis of the interim result last submitted.
(3) Delays resulting from the customer's untimely cooperation are not to the detriment of bytebrise. Agreed deadlines are postponed accordingly.
§ 5 Fees, payment terms
(1) The amount of the fee results from the individual quote or order confirmation. Unless otherwise agreed, the following terms apply:
5.1 Projects (Classic package, print, individual marketing projects)
For work contracts, instalments are based on the value of the verified, contract-compliant services rendered (typically at the steps: placing the order, design approval, go-live). Statutory rights of retention remain unaffected. The final payment falls due under the statutory requirements.
5.2 bytebrise Sichtbar (website rental)
The one-time setup fee is due on placing the order. The monthly rent is invoiced in advance at the start of each calendar month. The first, partial calendar month is charged per calendar day: monthly rent divided by the number of calendar days in that month, multiplied by the days from the agreed start of work (start day included). Example at a monthly rent of €149: start of work on the 16th in a 30-day month gives €149 / 30 × 15 days = €74.50. From the following calendar month the full monthly rent applies.
5.3 Annual Pre-Pay (12-month prepayment)
In the monthly model bytebrise Sichtbar, the total annual amount can be paid in advance on request. There is no pre-payment for the Care Plan or other maintenance contracts; they are billed monthly. Prepayment is voluntary. A fixed discount of 15% is granted for this. Worked example at €149 per month (bytebrise Sichtbar): 12 × €149 = €1,788.00, less 15% (€268.20) = €1,519.80, which equals €126.65 per month. In the event of early termination within the paid period, bytebrise refunds €126.65 for each unused full month (from the month following the end of the contract) plus, for the remainder of the month in progress, the pro rata daily share of €126.65. For other monthly amounts the same calculation applies, using the monthly amount reduced by 15%. For details, see Terms of Use § 6.3.
5.4 Referral programme (credit)
For every successful referral (a maintenance contract brokered within 30 days of clicking the referral link), the referring existing customer is credited with one month of maintenance against their own contract. No cash payout is made. For details, see Terms of Use § 5.
5.5 Maintenance and retainers
Maintenance services are billed monthly according to effort or the agreed retainer. Retainers are billed in advance; hours not used lapse at the end of the month unless otherwise agreed. The monthly product "bytebrise Sichtbar" is not an hourly retainer. Scope and billing for additionally commissioned hourly services are agreed separately.
5.6 Invoices and payment terms
Invoices are payable without deduction within 14 days of the invoice date. Accepted means of payment are: SEPA transfer, SEPA direct debit (after mandate granted) and credit card payment (via Stripe). If the customer defaults on a due payment, bytebrise is entitled to charge default interest at the statutory rate (5 percentage points above the base rate for consumers, 9 percentage points above the base rate for businesses). For Annual Pre-Pay the annual amount is due on invoicing; refunds under § 5.3 are paid without undue delay, at the latest within 14 days after the termination takes effect, by the same means of payment.
5.7 Value added tax (small business regulation)
bytebrise is a small business within the meaning of § 19 UStG. Therefore, no VAT is shown or charged on invoices. All prices stated are final prices. Every invoice carries the notice “No VAT is charged pursuant to § 19 UStG”.
bytebrise will notify a switch to standard taxation by email at least 4 weeks in advance. The agreed prices remain final prices even then; a surcharge in the amount of VAT only applies by express new agreement under § 12.
5.8 Expenses and third-party costs
Expenses for third parties (e.g. printing costs, stock photo licences, domain fees, advertising budgets, software licences) are shown separately and, unless otherwise agreed, passed on directly to the customer.
For an automation workflow agreed as a custom build, the associated SMS and AI costs are included in the monthly fee per workflow. With bytebrise GO, third-party fees, for example per text message or per other message, are not included in the monthly fee; bytebrise names them to the customer before the contract starts. Additional services or third-party products outside the agreed workflow are only charged following a separate offer and the customer's express commission.
§ 6 Acceptance
(1) Services under a contract for work (in particular the creation of a website under the Classic package or individual print products) require acceptance by the customer.
(2) The statutory provisions apply to acceptance. Mere productive use does not replace an agreed express acceptance.
(3) Immaterial defects do not entitle the customer to refuse acceptance.
§ 7 Rights of use and copyright
(1) Insofar as protectable rights exist in works created under the contract (in particular designs, source code, layouts, texts), their use is governed by the agreed transfer of rights. Rights of third parties remain unaffected.
(2) After full payment of the agreed fee, the customer receives a non-exclusive right of use, unlimited in time and place, to the works created for them for the contractually agreed purpose.
(3) The right of use does not include the right to resell the works to third parties, use them as a template for third-party projects, or transfer them to other domains/businesses, unless expressly agreed.
(4) Under "bytebrise Sichtbar", the customer's right of use to the design, source code and configuration exists, by way of derogation from paragraph 2, only for the duration of the contract, until the customer acquires permanent rights of use under § 11.6. § 11 governs the term, termination, buy-out, transfer of rights and the consequences of the end of the contract.
(5) Until the agreed fee has been paid in full, all rights remain with bytebrise. Use of the works prior to full payment is not permitted. For the monthly product "bytebrise Sichtbar", § 11.5 and § 11.6 apply instead of this paragraph.
(6) Permanent rights of use within the meaning of these terms are the customer's non-exclusive right, unlimited in time and place and independent of the continuation of the contract, to use the website created for them for their business, in particular to reproduce it, make it publicly available, edit and redesign it, host, operate and maintain it themselves or through third parties, and use it under another domain of their business. The customer may transfer this right to a successor together with their business; paragraph 3 otherwise continues to apply. The customer acquires permanent rights of use upon full payment under paragraph 2, upon the buy-out under § 11.6 paragraph 1 or after 24 months under § 11.6 paragraph 3; thereafter the customer is independent of bytebrise. bytebrise may continue to use its own reusable building blocks, components, templates and tools in other projects; insofar as they are contained in the website, the permanent rights of use include them as well, limited to this website. The customer's content, trademarks and data are excluded from such further use. § 9 paragraph 3 applies to licensed third-party material.
§ 8 References and self-promotion
(1) We only use the customer's name, logo and project excerpts as a reference following the customer's prior separate approval.
(2) The customer may revoke an approval already given at any time in text form. In this case, bytebrise will remove the relevant content within a reasonable period.
(3) On websites created by bytebrise, a credit line is placed in the footer in the form of a discreet reference to bytebrise (e.g. "Web design & implementation: bytebrise"). A publicly visible bytebrise credit is not an obligation of the customer and can be removed at no extra charge.
§ 9 Customer content, stock material
(1) The customer warrants that they hold the necessary rights, in particular copyright, usage and trademark rights, to all content they supply (texts, images, logos, graphics, videos, music, fonts, trademarks, other materials), allowing use within the agreed scope.
(2) The statutory rules on responsibility and liability apply to infringements of rights caused by content supplied by the customer.
(3) Where bytebrise licenses stock material (e.g. photos, icons, videos) from third-party providers as part of the project, this is done in bytebrise's own name. The customer receives a right of use to this material to the extent of the specific licence terms and exclusively for the delivered website or work. Any use beyond this (e.g. use on other websites, print, social media) requires separate licensing by the customer.
§ 10 Third-party services (hosting, advertising budgets)
(1) For services separately commissioned outside the monthly product "bytebrise Sichtbar", hosting and domain registration run directly between the customer and the respective provider; any such customer contract with a third-party provider is named expressly before commissioning. For hosting under "bytebrise Sichtbar", § 3.1 applies. Unless expressly agreed otherwise, bytebrise is not a contracting party to these separately commissioned third-party services.
(2) The customer pays advertising budgets for search engine advertising (e.g. Google Ads), social media advertising (e.g. Meta Ads) and comparable services directly to the respective provider. bytebrise only receives access to the customer's accounts to manage the campaigns.
(3) bytebrise charges only the agreed management fee. Budget spend is not part of the fee.
§ 11 bytebrise Sichtbar: Subject Matter, Term, Changes and Rights to the Website
11.1 Subject matter of the contract
(1) "bytebrise Sichtbar" comprises the creation and ongoing provision of a website within the agreed scope, technical hosting, the setup and ongoing maintenance of a Google Business Profile, a review routine, listing in relevant online directories, a monthly report, and changes to existing content pursuant to § 11.4.
(2) The details of the specific scope of services (e.g. number of subpages, tools used) result from the individual quote or the order confirmation.
11.2 Prices and payment
(1) A one-time setup fee and a monthly fee apply to "bytebrise Sichtbar". The amount results from the individual quote or the order confirmation.
(2) The setup fee is due upon placing the order. The monthly fee is invoiced in advance at the start of each calendar month.
(3) § 5.3 and § 5.6 apply accordingly to payment terms, default of payment and the option of annual prepayment (Annual Pre-Pay).
11.3 Term and termination
(1) "bytebrise Sichtbar" is concluded for an indefinite period. There is no minimum term.
(2) You may terminate the contract at any time with effect at the end of the current calendar month. There is no additional notice period. Your notice of termination must reach bytebrise by the last day of that month at the latest. An email to hello@bytebrise.com is sufficient. We confirm receipt and the end of the contract in text form.
(3) The right to extraordinary termination for good cause remains unaffected. Good cause exists in particular if the customer is in default with at least two consecutive monthly payments.
11.4 Scope of services and changes
(1) Changes to the existing scope of services are included without additional charge and without a monetary or time limit, provided they are changes to existing content, in particular text, images, opening hours, prices, team details, and smaller additional sections within the existing page structure.
(2) Within 2 working days, bytebrise confirms to the customer receipt and the implementation date of a complete and unambiguous change request via the channel used by the customer for this purpose. The change is implemented on the confirmed date. For more extensive or unclear requests, bytebrise will name a correspondingly later date in this confirmation or ask for clarification.
(3) Not included are new subpages outside the existing structure, new functions (e.g. online shop, booking system), redesigns, and other services that go beyond a change to existing content. These are provided and invoiced under a separate quote.
(4) bytebrise is entitled to reject change requests that are obviously unlawful, abusive, or evidently not authorised by the customer, and to inform the customer via a contact option stored in the customer record.
11.5 Rights of use
(1) Content supplied by the customer themselves (in particular their own text, images, logos) remains the property of the customer. § 9 applies accordingly.
(2) The rights to the design, source code and technical configuration of the website rest with bytebrise until the customer acquires permanent rights of use under § 11.6. Until then, the customer receives a non-exclusive, non-transferable right of use to these for the duration of the contract pursuant to § 7 paragraph 4. Paragraph 4 applies to a website brought in by the customer.
(3) During the ongoing monthly contract, the customer may use the provided website for their business. The later acquisition of permanent rights of use is not a condition of this ongoing use. After the acquisition of permanent rights under § 11.6, the right of use exists independently of any continuation of support. Rights to content contributed by the customer remain unaffected; paragraph 4 applies to a website brought in by the customer. Upon termination of the contract without a prior acquisition of rights under § 11.6, the customer's right of use to the design, source code and configuration expires; § 11.7 governs the further handling of the website.
(4) If the customer brings in an existing website, all rights to it remain with the customer; bytebrise only hosts, operates and maintains it. This also applies to changes that bytebrise makes to its existing pages and content. Paragraph 2 and § 11.6 apply to pages, designs and functions that bytebrise newly adds. When the contract ends, whenever that may be, bytebrise will hand over the brought-in website with these changes to the customer within 5 working days in common formats, insofar as it is held by bytebrise. Until the handover, but for no longer than 14 days after the end of the contract, it remains online; if bytebrise hands it over later, it remains online until the handover. § 11.7 paragraph 1 does not apply to the brought-in website.
11.6 Buy-out and transfer of rights after 24 months
(1) The customer may buy out the permanent rights of use (§ 7 paragraph 6) to the design, source code and configuration of the website at any time during the contract term for a one-time price of € 1,990 as a final price; pursuant to § 19 UStG, no VAT is charged. The rights transfer as soon as the buy-out price and all amounts due under this contract up to that point have been paid.
(2) With the buy-out, the contract for "bytebrise Sichtbar" ends at the end of the calendar month in which the buy-out price was paid, without any need for termination. If the customer declares in text form by then that they wish to keep maintenance, hosting and the other services, the contract continues for € 149 per month and remains terminable under § 11.3.
(3) The 24-month period begins on the agreed work start date. If the contract continues until the end of this period and all amounts due by then under this contract (setup fee and monthly fees) have been paid, the customer acquires the permanent rights of use upon expiry of the period at no additional purchase price. If amounts are still due when the period expires, the customer acquires the rights on the day they are paid in full, even if the contract has ended in the meantime; the period itself is not extended as a result. Maintenance, hosting and the other services continue for € 149 per month after the acquisition of rights until the contract is terminated under § 11.3.
(4) If the contract ends before the 24 months have elapsed without the customer having acquired permanent rights of use, the customer does not acquire them pro rata either; the setup fee and monthly fees paid are not credited against the buy-out price. If the customer has terminated, they may still demand the buy-out under paragraph 1 in text form until the termination takes effect. If bytebrise terminates for good cause, the customer may demand the buy-out within 14 days of receipt of the termination. The demand only becomes effective if the customer pays the buy-out price and all amounts due within 14 days after the end of the contract; until then the website remains online without further charge and the customer may continue to use it. If the customer does not pay in time, the demand lapses without any obligation to pay, and § 11.7 applies.
(5) Upon the acquisition of rights, bytebrise will, on request, hand over the website files (source code, configuration, media and content) in common formats within 5 working days. If the contract ends after the acquisition of rights, the website remains online until the handover, but for no longer than 14 days after the end of the contract; if bytebrise hands over later, it remains online until the handover. No further fee is charged for this. The entitlement to handover also exists after the end of the contract if the customer asserts it within 3 months of the end of the contract. Services that run on systems of bytebrise or third parties (for example form delivery, customer portal, statistics, appointment booking) are not part of the handover and end with the contract.
(6) A termination after the acquisition of rights ends the ongoing services, not the permanent rights of use already acquired.
11.7 End of contract, export and domain
(1) If the contract ends without the customer having previously acquired permanent rights of use under § 11.6, the website is deactivated and no longer made available once the termination takes effect. § 11.5 paragraph 4 (brought-in website) and § 11.6 paragraph 4 (buy-out after termination) remain unaffected.
(2) Within 5 working days of the end of the contract, bytebrise will make the content supplied by the customer (in particular text, images, customer data) available for export in common, reusable file formats.
(3) The domain remains the property of the customer. If it was registered or managed via bytebrise, bytebrise will transfer it to an account named by the customer, provided the customer requests this within 3 months of the end of the contract.
11.8 Direct purchase (alternative offer)
(1) Instead of "bytebrise Sichtbar", a website can also be commissioned as a one-off order (Classic package, § 3.2). The price is based on the individual quote.
(2) An additional monthly maintenance service may be agreed for websites under the Classic package. This is cancellable monthly to the end of the month; there is no minimum term. The scope of maintenance is based on the individual quote and, unless otherwise agreed, does not correspond to the scope of changes under § 11.4.
§ 12 Price changes
(1) The agreed prices are final prices and remain unchanged for the duration of the contract. There is no automatic price adjustment, for example based on a price index.
(2) Prices may only be changed by express new agreement in text form. Without the customer's consent, the previous price continues to apply.
§ 13 Defects and warranty
(1) The statutory warranty rules apply to services under a contract for work (websites under the Classic package, print products).
(2) The customer must notify recognisable defects in text form without delay, at the latest within 14 days of handover. This deadline expressly does not apply to consumers; the statutory deadlines apply to them without restriction.
(3) If a defect exists, bytebrise initially has the right to cure. bytebrise may choose whether the cure is carried out by remedying the defect or by re-creation.
(4) § 3.5 applies to separately commissioned maintenance services; for the monthly product, the services expressly agreed under § 11 apply in addition. The statutory provisions on service contracts otherwise apply to these services (online marketing, maintenance/support). No particular result is owed.
§ 14 Liability
(1) bytebrise's liability is governed by the statutory provisions.
(2) The customer is obliged to regularly back up, on their own, any data they transmit to bytebrise or store on a system managed by bytebrise.
§ 15 Data protection and data processing
(1) Insofar as bytebrise processes personal data on behalf of the customer, both parties agree a data processing agreement before this processing begins. It describes in particular the purpose, categories of data, data subjects, instructions, sub-processors used, safeguards, and the return or deletion of data at the end of the contract. A general link does not replace this agreement; for orientation see bytebrise.com/avv.html (German).
(2) In all other respects, bytebrise's privacy policy (German) applies.
§ 16 Right of withdrawal for consumers
This section only applies if the customer is a consumer within the meaning of § 13 BGB.
Withdrawal notice
Right of withdrawal. You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period is 14 days from the day the contract was concluded.
To exercise your right of withdrawal, you must inform us (bytebrise, owner Jakob Serfözö, Balduin-Helm-Straße 71b, 82256 Fürstenfeldbruck, email: hello@bytebrise.com, telephone: +49 8141 5098988) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or an email). To meet the withdrawal deadline, it is sufficient for you to send your communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal. If you withdraw from this contract, we will reimburse to you all payments received from you, including the costs of delivery (except for the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and at the latest within 14 days from the day on which we received notice of your withdrawal from this contract. For this repayment, we will use the same means of payment you used for the original transaction, unless expressly agreed otherwise with you; in no case will you be charged any fees as a result of this repayment.
Start of performance before the end of the withdrawal period. If you have requested that the services begin during the withdrawal period, you shall pay us an amount which is proportionate to the extent of services already provided by the time you inform us of your exercise of the right of withdrawal in respect of this contract, compared with the full scope of services provided for in the contract.
Early expiry of the right of withdrawal. Your right of withdrawal expires prematurely in the case of a contract for the performance of services if bytebrise has fully performed the service and only began performance after you had given your express consent and, at the same time, confirmed your knowledge that you would lose your right of withdrawal upon full performance of the contract by bytebrise. bytebrise will expressly ask you for this consent before starting performance.
Model withdrawal form
(If you want to withdraw from the contract, please fill in this form and send it back.)

Online dispute resolution and consumer conciliation
The European Commission discontinued its Online Dispute Resolution (ODR) platform on 20 July 2025. bytebrise is not willing to participate in dispute resolution proceedings before a consumer dispute resolution body.
§ 17 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer-protection provisions of the country in which the customer has their habitual residence remain unaffected.
(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with the contract is the registered seat of bytebrise (Fürstenfeldbruck). The statutory place of jurisdiction applies for consumers.
(3) Changes are recorded in text form for documentation purposes. The precedence of individual agreements remains unaffected.
(4) Should individual provisions of these T&Cs be or become invalid in whole or in part, the validity of the remaining provisions is not affected. The statutory provision takes the place of the invalid provision.
§ 18 Preview drafts as part of initial contact
(1) bytebrise occasionally creates non-binding design drafts ("preview drafts") for businesses with which a possible engagement is to be discussed. These drafts serve solely to illustrate possible improvements and do not constitute an order.
(2) For unsolicited drafts, we use our own or duly licensed content and fictitious business data. We only adopt third-party logos, photos and texts after prior documented permission of the rights holder. A draft is clearly marked as such and is not offered as the website of the depicted business.
(3) Preview drafts are placed under a non-indexed address (/preview/{slug}/) and excluded from search engine discoverability by technical measures (robots.txt, X-Robots-Tag: noindex). A noindex notice is not an access barrier and no assurance that third parties will not find the page. The link is communicated exclusively to the business addressed.
(4) The affected rights holder (owner of the original content) may at any time request removal of the preview draft in text form to hello@bytebrise.com. bytebrise will then remove the draft without undue delay, at the latest within three working days.
(5) If a contract is concluded between the prospective customer and bytebrise, the preview draft is either transferred into the commissioned website or deleted. If no contract is concluded, the draft is deleted at the latest three months after the last communication with the prospective customer.
(6) The preview draft does not imply that the prospective customer has placed an order or is in a business relationship with bytebrise. Any confusion with an approved reference project is excluded. Personal data of prospective customers is handled in accordance with the applicable privacy notices.
